End User License Agreement
1. Introduction
Welcome to use the products and services provided by Nanjing Gentai Network Technology Co., Ltd and its affiliates (hereinafter referred to as "Nanjing Gentai, "we" or "us"). The Agreement is signed by and between the users (those individuals who are willing to accept or have already accepted the products or services of [Nanjing Gentai Network Technology Co., Ltd]) and us, our affiliates, or other cooperative operating entities regarding your use of our products or services. The Agreement has the effect of a duly executed contract; the Agreement and the Privacy Policy constitute an integral part of the Agreement once they are officially released.
1.1 The products and services we provide are online games suitable for adults aged 18 or above. You must obtain the consent of your parents or guardians before creating an account at us or using our products or services. Please do not create an account at us or use our products or services without the consent of your parents or guardians. If you're the parents or guardians of minors who wish to create an account with us, you must carefully and thoroughly read the Agreement and accept the terms of service herein. You shall also reasonably set the entertainment time for minors to cultivate their healthy gaming habits.
1.2 Before using our products or services, please carefully read, understand, and agree with the terms of service and Privacy Policy, especially the disclaimer, which may limit your rights together with other Independent terms.
1.3 If you do not agree with any of the terms herein, please stop using our products or services and remove them from your device immediately.
1.4 If you participate in and use our products or services, it is deemed that you agree to be bounded by all terms herein and the Privacy Policy, including other terms applicable to the Agreement and the Privacy Policy and their supplementary and modified versions.
1.5 We attach much importance to the security of your personal data. To better protect your rights, we also provide the Privacy Policy for your reference. Please carefully read the Privacy Policy to understand how we collect and use the information relating to your account and/or to your use of our products or services. By accessing or using the services or agreeing with these terms of service, you allow us to collect, use, disclose, and/or transmit your contents and personal data as described in the Privacy Policy.
2. Terms and Definitions
For the purpose of the Agreement, unless the context otherwise requires, the following terms shall be defined as below.
2.1 Products and Services refer to our websites and online services and game services provided by us at present or in the future.
2.2 Game Terms refer to the terms and conditions set out in the terms of service, announcements, and notices released in our games and/or on our game websites.
2.3 Data refer to the contents/information created or generated by you during the gaming process, which is recorded by the game server.
2.4 Personal Information refers to the information of specific individuals to record and identify the identity of the players based on Article 4 herein.
3. Account and Login
If you want to use our products or services, you need to create an account before logging in to the game. You can create an account and log in through any of the following methods:
3.1 Click "Enter the Game" when logging in for the first time. In this case, your game account will be associated with the device you use to log in to the game. It's your responsibility to identify your account by completing the information required by the game.
3.2 In order to protect your legitimate rights and interests, we recommend that you use your platform ID or other associated account to log in. If you fail to provide sufficient information to prove that you're the owner of the account, we will be unable to receive and solve your complaint.
4. Collection, Usage, and Protection of User Information
4.1 As required by local laws, to provide you with the best services, you shall fill in the following information in full when you're creating an account and using our products or services:
1.(a) Full Name;
2.(b) Date of Birth;
3.(c) Permanent Address;
4.(d) ID Card Number, Passport Number, Date of Issue, Place of Issue;
5.(e) Phone Number, Email (if any)
4.2 If you fail to provide the above information or provide inaccurate or incomplete information, we have the right to (i) refuse to provide you with the Services; (ii) stop providing you with game services, disenable part or all of the account functions, delete your account and game data and any relevant information, or lock your game account; and/or (iii) refuse to receive and solve your complaints about the game or the account.
4.3 We will take necessary measures to protect your personal data and information; however, where necessary, we will provide your personal data to competent governmental agencies or courts as required by applicable laws or in accordance with the requirements of these agencies.
4.4 The naming of accounts and characters in the game shall comply with the naming principles released herein.
4.5 You fully understand and agree that we and/or our third-party partners may send you ads or game operation information by email or other means; in this case, our third-party partners (if any) are also obliged to keep your personal data confidential as we do.
4.6 You fully understand and agree that in order to avoid accidental loss or interference of your account (such as being hacked), you will not (whether intentionally or unintentionally) disclose your game account, password, and other relevant information to any third-party, including those with whom you have a close relationship, and you shall take reasonable steps to protect your account. If you discover or suspect that your account has been logged in against your will, you may (i) change your password immediately, and/or (ii) notify us and perform necessary procedures to temporarily lock your account and minimize your loss. If any of the above circumstances occurs, you can contact us in time.
4.7 You fully understand and agree that in order to enhance the security and safety of the Services, we have the right to apply one or several technical measure(s), software, and/or internal or external apps to run the game; however, by adopting the above measures, we cannot guarantee that your account will not get lost or be hacked, and we're not liable for such consequences in this case.
4.8 You fully understand and agree that in order to improve the utilization efficiency of the system resources, we reserve the right (but are not obliged) to delete your entire account and all relevant data if you fail to use your account within six (6) months since the last login.
4.9 In order to provide you with the best services, you hereby agree that we have the right to collect information on your device or the apps on your device through the game, including sending some technical information collected from the software or apps on your device. We will keep such information confidential in accordance with the Privacy Policy.
5. Game Services
5.1 Once you agree to be bounded by applicable laws and regulations of the game, we grant you a non-exclusive, non-transferable, and non-commercial right to use the services and functions of the game for your personal purposes.
5.2 In addition to the game rights granted in accordance with Article 5.1, we reserve all the intellectual property rights and other relevant rights of the game, such as the trademarks, product source codes, images, music, etc. You must not take any action other than the rights described in Article 5.1 without our prior written consent.
5.3 You hereby understand and agree that:
(a) During the operation and supply of products or services, in order to better serve the customers, we have the right to update, add, change, delete, and remove one or more feature(s), interface(s), and function(s) without prior notice. If you continue to play the game, it is deemed that you agree with all changes in the game; if you do not agree so, you should stop playing the game immediately, avoid logging into the game again, and fully delete the game from your device. In this case, we're not responsible for your account and data in the game.
(b) To ensure your speed and experience in the game, we reserve the right to delete outdated data stored on the game server periodically or at any reasonable time.
(c) We will take necessary technical measures to help you gain the best product experience; however, in some unexpected circumstances, the game may (i) be interrupted; (ii) be caught with an error (or a bug); (iii) lose or repeat some information or functions in the game or in your account. If it is the case, we will endeavor to take all necessary steps to make remedies within a reasonable time, and you agree to release us from all liabilities and related obligations.
(d) All technical and functional information, formulas, technical solutions, and all other information about the game are all confidential information, so we are not obliged to provide you with any of the above information in any way.
(e) In order to provide you with the best game services and make constant improvements, we may adjust, update or optimize the game without prior notice or without your consent, such as setting up relevant values, virtual units, or bonus points of the orders, and you do not have the right to hold us accountable.
(f) This game is only provided for your entertainment along with in-game (entertainment) experience; you must comply with relevant laws, and all virtual items, virtual units, bonus points, and credits in the game are not property and cannot be exchanged for money, payment cards, coupons or other valuables outside the game; therefore, if your game account is deleted and/or the game is completely suspended or terminated (for any reason), all virtual units, virtual items, bonus points, and credits will also no longer be valid and will be deleted (if any) immediately after the relevant procedures are performed, and we are not obliged to refund or compensate you for any cash or in kind; however, we will make every effort to notify you in advance within a reasonable period of time, and make plans to protect your interests in accordance with applicable laws.
(g) In-game promotions and activities will only be officially announced on the game homepage and/or by the system in the game; therefore, advertising information, promotions, and invitations that are not from the above official sources may be intended for defrauding and stealing your account; in this case, we are not liable for the resulting consequences.
(h) We only accept payment channels of our own or provided by our partners, which are introduced and published in the game and/or on the game homepage; we will not be liable if you use other payment channels. However, after successful payment by you, we will record the corresponding number in the exchange unit in your game account, which will then be paid by the service provider. If the service provider requests a refund (due to a request or complaint of a cardholder), we shall follow relevant rules, make a request for a refund, and deduct the amount and any other proceeds you have received from that payment accordingly from the account; if the deducted amount is insufficient (because you have used it), we reserve the right to deduct and/or withdraw your used virtual item next time. Additionally, in some cases, depending on the severity of the violation, you may be permanently banned from the account associated with this behavior.
6. Charge Policy
6.1 For certain games and other services, you may choose to purchase in-game currency or other in-game virtual units ("Virtual Units"), virtual in-game items or skins ("Virtual Items"), or other rights available through the Services.
6.2 You hereby understand and agree that we will charge you the fees for your use of our products and services. Meanwhile, we have the right to determine the charging standards and charging methods for the products and services provided. We may develop different charging standards and charging methods for different products and services or according to different stages of the products and services we provide. In addition, we may also modify our charging policies from time to time. We will place the charging information about the products and services and the charging standards, charging methods, purchasing methods, or other information about the charging policies in a prominent position on the relevant web pages of the products and services.
6.3 For our fee-based products and services, you should purchase our products and services in accordance with the charging policies determined by us. Changes in or adjustments to fee-based products or charging standards are normal business behaviors, and you shall not ask us to make compensation for changes in or adjustments to fee-based products or charging standards. If you do not purchase our products and services in accordance with the charging policies determined by us, we may immediately stop providing the products and services to you.
7. Violations and Remedies
7.1 In addition to abiding by the rules of the game, you shall not be caught with any of the following:
(a) Use the game for the following purposes:
(i) Cause harm to national security, social order, and social security; undermine national unity; promote war and terrorism; cause hatred and conflict between nationalities, nations, and religions;
(ii) Publicize or incite violence, obscenity, indecency, criminal behavior, social evil, or superstition, or destroy the fine customs and traditions of the nation;
(iii) Divulge national, military, security, economic, diplomatic secrets, and other secrets specified by law;
(iv) Disseminate information that distorts, defames, or damages the reputation of an organization, or the honor and dignity of an individual;
(v) Advertise, promote, buy and sell in-game goods and services, especially prohibited goods and services; disseminate news, literature, art, and published works;
(vi) Impersonate organizations or individuals, spread false and untrue information, and infringe upon the legitimate rights and interests of organizations and individuals.
(b) Engage in behaviors that infringe the intellectual property rights of ours or the developers:
(i) Remove copyright and intellectual property-related information from the products;
(ii) Edit, reverse engineer, re-edit the product code or otherwise examine the product source code;
(iii) Review (scan), inspect, and test for malicious purposes to detect or discover bugs or existing weaknesses in the products;
(iv) Copy, edit, add, delete, change the functionality or performance of the products, generate and store interactive and system data between the server and the client during the operation of the products at any time, including but not limited to plug-ins or automatic connections to other related systems or third-party tools without our prior written consent;
(v) Use, rent, lend, copy, edit, link, transmit, publish or create websites, microsites, etc. to distribute or publish intellectual property contents that we own or have the exclusive right to use;
(vi) Create websites or microsites that are related, similar or identical to the products.
(c) Regarding the operation and use of the game:
(i) Unauthorized use of another player's account and password.
(ii) Buying, selling, or exchanging virtual units, virtual items, bonus points in games or game accounts with money, in kind, or cash between players.
(iii) Undermining the fairness of the game by (i) intentionally or unintentionally exploiting bugs in the game, omissions in scripts, game designs designed to defraud, or any other violation of the game rules; (ii) using third-party software, applications and/or devices to interfere with the game and/or the game's server systems and/or (iii) by violating the game rules to gain an advantage over other players.
(iv) Speculating or profiteering virtual units, in-game virtual items, and/or virtual items created using virtual units that violate the game rules.
(v) Cheating in some way, not following the game rules of the game for illegal profit.
(vi) Discussing or expressing political, religious, or racial views in the game.
(vii) Engaging in acts and remarks that are abusive or offend the reputation, prestige, and dignity of other individuals or organizations.
(viii) Enticing, deceiving, or making false promises to other players for the purpose of deception.
(ix) Impersonating or intentionally misleading others into believing that you are another player in the game and/or someone other than yourself.
(x) Impersonating or knowingly making others believe that you are one of our employees or collaborators.
(xi) Engaging in any acts, words, gestures or attitudes that damage the reputation or trademarks of the game and/or ours.
(xii) Engaging in disruptive acts at our and/or its affiliates' headquarters or any branch, representative office, place of business, resulting in danger.
(xiii) Expressing any remark, showing any attitude, or behaving in a way that violates our identity, reputation, honor, dignity, or threatens our employees or workers (whether seasonal employees, public officials, official employees, or collaborators).
(xiv) (i) Engaging in other illegal behaviors; (ii) Violating good local customs and traditions; (iii) Violating the general code of conduct of the online game user community and/or the online entertainment industry.
7.2 For violations of the game rules, we have the right to deal with them by ourselves and/or through the game's systems and functions; according to the severity, violations can be dealt with in one or more of the following ways:
(a) Reminder: Applies to first-time violation with little impact on the game and/or other players.
(b) Warning: Applies to violations that have been warned but not corrected and/or re-implemented or violations of (vi), (vii), (viii), (ix), (x), and (xi) under Clause 7.1(c).
(c) Recovery and/or Deletion of Virtual Units or Virtual Items from the Game: Applies to violations against which a warning has been given but no corrective action has been taken, and/or repeated violations of (iii), (iv), and (v) under 7.1(c).
(d) Account ban for a limited time (depending on the type and severity of the violation): Applies to violations that have been warned and/or violations that have been dealt with in accordance with Article 7.2 but without correction, and/or repeated violations of (xii) and (xiii) under Article 7.1(c).
(e) Account Suspension: Applies to violations that have been dealt with in accordance with Article 7.2(d) but without correction, and/or repeated violations of Article 7.1(a), Article 7.1(b), and (i), (ii), (xiv) under Article 7.1(c).
(f) Transfering files to state authorities for dealing with violations or criminal prosecutions: Applies to all violations where there is evidence of a crime.
Notwithstanding the above specific provisions, in some special cases, we have the right to take additional or concurrent remedies for deterrence and/or environmental protection purposes to ensure the health and fairness of the game.
7.3 If we discover and/or receive complaints and accountability related to your violations of game rules and/or your game account, depending on the type and severity of the violation, we have the right (but are not obliged) to release your account names and penalties to other players through in-game announcements or on other information channels we may have access to.
8. Resolution of Game-related Complaints and Disputes
8.1 All game-related complaints or disputes will only be received and responded to by us through our online customer service channels (i) in the game or (ii) on the website pages or (iii) by other contact methods specified by us.
8.2 To make a complaint or report to the game, your account needs to be a fully identifiable account before we can receive the complaint or report and contact you. If your account has not been fully identified or if we have reason to believe that the information you have provided is incorrect, we have the right to refuse to resolve your complaints and feedback until you provide complete and accurate information.
9. Intellectual Property Rights
9.1 All intellectual property rights of the products and services we provide (including but not limited to the game as a whole, all art, music, text works and other game components and parts included in the game, as well as the continuous dynamic images presented during the game running) and all game-related information content (such as text, pictures, audio, video, graphics, interface design, layout framework, relevant data or electronic documents, etc.), including all copyrights, trademarks, patents, trade secrets, and other legitimate rights and interests, are vested in us or its original licensors and are protected by local laws and regulations and applicable international treaties. No one is allowed to download, copy, transmit, modify or edit the game without authorization; otherwise, they shall be held accountable. The validity of the terms herein extends to all products and services we provide (including independently developed ones and those operated by us as an agent). You shall be bound by the terms herein when you're enjoying any of our services. Therefore, when we grant you the right to use the game service in accordance with Article 5.1, you understand and agree that you can only download the package to your device, and install and use it, but you have no right to take any action to change the products.
9.2 All data generated during your use of the game (including but not limited to the account name, registration information, account data, character data, level item data, all login/consumption records, product logs, customer service records, social network contents generated by the user in the products, etc.) are exclusively owned by us; therefore, we have full rights to store, use, and process such data.
10. Links of Third-party Websites
Certain links provided through the Services may keep users away from the website or games. These links are for informational purposes only and the pages they link to are not under our control in any way and are therefore at your own risk. Therefore, we are not responsible for the contents of any third-party website or any link contained in a linked website, including any changes in or updates to those pages. We provide these links here only for your convenience and the inclusion of any link does not imply or express in any way our affiliation, endorsement, or sponsorship with any linked website and/or any of its content.
11. Compliance with Applicable Laws
11.1 You fully understand and agree that you will (i) fully comply with the local laws related to the game, and (ii) fully comply with the laws of the countries/regions in which you access and play the game or the laws of China, and (iii) be solely responsible for the consequences of your access to and playing of the game without complying with local regulations, and we guarantee that we will not be liable for any related liability.
11.2 If we receive any complaint, notice, or request in relation to your failure to meet the above requirements, and/or if we have reason to judge reasonably based on the information we have that you're caught in such failure, we have the right to (i) stop providing you with the game services without prior notice and without bearing any responsibility to you and/or (ii) block access from countries where the playing of the game is prohibited.
12. Applicable Laws
The Agreement is governed and construed based on local laws with respect to all matters and aspects of the user terms.
13. Modification of User Terms and Their Effect
13.1 These terms are effective as of July 01, 2022, until being changed or canceled in writing, and supersede all previous user terms related to the game.
13.2 You agree that we have the right to modify or add some or all of these Terms of Use without your prior consent. If you do not agree with these modifications and additions, you have the right to stop using the game; if you continue to use the game, you are deemed to have agreed to all such modifications and additions.
13.3 In the event of a conflict between these terms in this Agreement and those terms of the Linked Account, the terms in this Agreement shall prevail.
13.4 In the event of a conflict between these terms in the Agreement and our official statement, the official statement shall prevail.
14. Severability
14.1 The fact that one or more term(s) herein is (are) declared invalid by a court shall not affect the validity of the remaining terms, which shall continue to be binding.
14.2 Our failure to exercise or delay in exercising any rights or modifications under these terms herein or the game rules shall not be deemed to be a waiver of any rights or modifications. Nothing in these terms herein and the exercise of any or all of the rights shall not preclude the exercise of any other right, power, or modification set forth in these terms herein.
